Terms of Sale and Delivery

The seller's offer is not binding without his confirmation of the customer's order. By processing the order, the general and special conditions of the seller are recognized. Unless otherwise stated, the prices offered are in €, the goods are to be paid for in Horb a. N. and delivery is ex warehouse Horb a. N. All taxes and duties, in addition to the selling price, are at the expense of the buyer. Unless otherwise agreed, the cost of delivery is at the expense of the buyer. Any complaints must be made by the customer himself. Any interference on the part of the seller is purely benevolent and in no case shall it be construed as a concession. Order cancellations prior to shipment of the goods by the customer will not be accepted, except through demonstrable error or oversight on the part of the seller. The seller has the right either to refuse any cancellation or to charge the customer with an amount of 50% of the goods to be invoiced. Complaints about missing goods and/or goods that do not comply with the order must be made to the seller within 10 (ten) days after receipt of the delivery in writing, by registered mail, otherwise the legal claim expires. Complaints about missing goods - in the case of small parts - cannot be accepted if they account for less than 3% (three) in the case of large deliveries. Defective goods must be recognized as such by the seller's quality control. The seller reserves the right to complete orders according to customer specifications, even if the required quantities have not been fully achieved. The above complaints will only be accepted if prior proof is provided that the fault lies with the seller. In any case, the seller's liability is limited to replacing the goods free of charge. If replacement is not possible, compensation will be made equal to the selling price of the defective and rejected or missing goods. Returns of rejected goods can only be made with prior written confirmation. Seller guarantees that the delivered goods and the service with its written specifications and drawings to match. The same applies to custom-made products according to the customer's specification, which must be confirmed in writing by the seller beforehand. Seller's sole obligation under the foregoing warranty is to provide replacement goods of equal quantity free of charge or, at Seller's option, repair of the goods at the place of receipt, but in either case without any obligation on Seller for removal and installation. The customer undertakes to refrain from dismantling until the seller has communicated his choice in writing. The seller excludes all express or implied obligations - for whatever reason or circumstance, physical damage, loss or material damage, direct or indirect, resulting from the use or the impossibility of use patent rights and use of trademarks for goods manufactured by the seller or his group and according to the customer's specification and components or which have arisen through misuse. Invoices are payable within 30 days. Unless otherwise agreed, no discount will be granted. Invoices that are unpaid on the due date will be charged an additional interest rate of 1% per month without formal confirmation sales price or when accepting bills of exchange until they are honoured. The customer can process and sell the goods in the ordinary course of business. However, he is not entitled to pledge the goods to third parties or to transfer them as security before full payment has been made. The customer must notify the seller immediately of any pledging of the goods by third parties. Place of performance and jurisdiction is Horb a. N. The seller reserves the right to choose any other location permitted by law. Article 13 remains in force for all bills of exchange drawn by the seller for the payment of his invoices; Novations expressly excluded. Invoices are sent electronically. A paper dispatch is possible on request for a surcharge of 2.00 €.

SPECIAL AGREEMENTS

A portion of the setup costs can be billed to the customer once and irrevocably. Payment does not give right to possession.
